1. Acceptance of Terms

By accessing or using Waffle at https://waffle.ai (the "Service"), you agree to be bound by these Terms of Service and our Privacy Policy. If you disagree with any part of the terms, you may not use the Service.

2. Description of Service

Waffle is a video editor. You describe the video you want to an AI agent, attaching any files for it, and the agent makes and edits your project for you. You can preview the result and export it as a video file. To carry out your requests, the agent can write and edit your project's source, use the files you attach, and generate pictures, video clips, music and voice-overs with third-party AI models.

We may change, suspend or discontinue any part of the Service, including templates and the AI models it uses, at any time.

3. Accounts

You must be at least 18 years old to use the Service. You sign in with Google or Apple and are responsible for all activity under your account. Do not share your account, and do not create additional accounts to obtain more free credits or referral rewards.

4. Plans, Credits and Payment

Using the agent and generating media costs credits. Each AI and media request your projects make is charged in credits according to what it actually costs. New accounts receive a one-time grant of free credits. Paid plans add a monthly allowance of credits, as shown on our Pricing page.

Before a turn makes paid video, voice or music generations, the agent asks you to confirm in the chat and shows a price. That price is the most the turn's generations can spend at the quality you choose; you are charged what they actually cost, which may be less. Some low-cost generations, such as AI pictures and turns quoted under 10 credits, run without asking and are charged at their actual cost. A generation that has already started may finish after your balance runs out; the shortfall is deducted from your next credits.

• Billing: paid plans are billed monthly or yearly in advance through Stripe, in the currency shown at checkout, plus any applicable taxes. They renew automatically at the end of each period until you cancel.
• Monthly credits: a plan's credits are granted each month, including on yearly plans. Unused monthly credits do not roll over.
• Plan changes: moving to a higher plan on the same billing period takes effect immediately and is charged pro rata for the rest of the period. Moving to a lower plan, or between monthly and yearly billing, takes effect when the current period ends.
• Cancellation: you can cancel at any time from your billing settings. You keep your plan and its credits until the end of the period you paid for, then move to the free plan.
• Other credits: purchased credits, where offered, are used after your plan's monthly credits and expire 12 months after purchase. Referral credits expire 90 days after they are granted.
• Refunds: payments are non-refundable and credits have no cash value, cannot be transferred and cannot be exchanged for money, except where the law requires otherwise. These terms do not limit any mandatory consumer rights.
• Price changes: we may change prices or the credits included in a plan. Changes to a paid plan you hold apply from your next billing period after we notify you, and you can cancel before then.

5. Your Content

You keep any rights you have in the prompts, files and other content you provide, and in the videos you make with the Service. You grant Waffle the permissions needed to store, process and display your content in order to operate, secure and improve the Service, including sending it to the AI providers described in our Privacy Policy.

You are responsible for having the rights and permissions needed for everything you put into a project, including files you upload, media you ask the agent to fetch from other websites such as YouTube, and the names, likenesses and voices of real people. You are also responsible for how you use and publish the videos you export.

6. Templates and Waffle's Rights

Waffle retains all rights to the Service, including its software, templates, brand and website content. You may use the parts of a template that appear in a video you export from the Service, including in videos you publish or use commercially. You may not copy, extract, resell or redistribute templates, or their source, on their own.

7. Sharing and Collaboration

Your projects are private until you share them. When you invite someone to a project or folder, they can see it and act on it according to the role you give them, and collaborators can see each other's names, profile photos and comments. Only invite people you trust with the project's content. Thumbnails and previews of your media are served from unlisted links, as described in our Privacy Policy.

8. Acceptable Use

You agree not to use the Service to:

• Violate any laws or regulations
• Infringe copyright, trademark, privacy, publicity or other rights of others
• Create or share material that is unlawful, harmful, threatening, abusive, harassing, defamatory, obscene, or otherwise objectionable
• Create sexual content involving minors, or sexual or intimate content depicting a real person without their consent
• Impersonate a real person, or create videos meant to deceive people into believing a real person said or did something they did not
• Create spam, scams, or misleading political or commercial content
• Interfere with or disrupt the Service, its infrastructure or other users
• Get around credit limits, billing, or usage and security controls, or abuse the referral program
• Access the Service through automated means, or copy, scrape or reverse engineer it, except as the law allows

We may remove content, stop a running request, or suspend accounts that violate these terms. Report concerns about content made with Waffle to founders@waffle.ai.

9. AI-Generated Content

The agent and the models it uses can make mistakes. Edits and generated media may be inaccurate, incomplete, different from what you asked for, or similar to content generated for others. Review your video before you publish or rely on it, and label it as AI-generated wherever the law or the platform you publish on requires.

10. Third-Party Services

The Service relies on third parties, including AI model providers, Stripe for payments, and Google and Apple for sign-in. Your use of those services may also be subject to their terms. We are not responsible for third-party services or websites.

11. Termination

You can stop using the Service and delete your account at any time in Settings → Delete account. Deleting your account cancels your subscription, forfeits your remaining credits and deletes your projects, as described in our Privacy Policy.

We may suspend or terminate your access to the Service at any time, with or without notice, if you breach these terms or if we need to in order to protect the Service, other users or third parties. Upon termination, your right to use the Service ceases immediately.

12. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, express or implied. Waffle does not warrant that the Service will be uninterrupted or error-free, that projects or exports will always be available, or that AI-generated content will be accurate or fit for any purpose. Keep your own copies of videos that matter to you.

13. Limitation of Liability

To the extent permitted by law, Waffle shall not be liable for any indirect, incidental, special, consequential or punitive damages, or any loss of profits, revenues, data or goodwill. Waffle's total liability for any claim related to the Service is limited to the greater of the amount you paid Waffle in the 12 months before the claim and US$100.

14. Indemnification

You agree to indemnify and hold Waffle harmless from claims, damages and expenses, including reasonable legal fees, arising from your content, your videos or your breach of these terms.

15. Changes to Terms

We may modify these Terms at any time. We will post the new Terms on this page and update the "Last updated" date, and we will notify you of material changes. Your continued use of the Service after the changes take effect constitutes your acceptance of the new Terms.

16. Governing Law

These Terms shall be governed and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.
